EXOFORMATIONS is a vocational training organisation with its registered office at 30 rue Georges Thoretton, 92230 Gennevilliers. These T&Cs apply exclusively to sales of vocational training services, both inter-company (catalogue courses for trainees from several organisations, on EXOFORMATIONS premises or remotely) and in-company (courses tailored to a business client's employees, on its premises or, failing that, on EXOFORMATIONS premises or remotely).
Purpose and scope
These T&Cs set out the conditions applicable to training services provided by EXOFORMATIONS. Any order implies the Client's unreserved acceptance of these T&Cs, which prevail over any other document of the Client, in particular its general purchasing conditions.
Article 1 — Registration
Training requests may be made by post, phone or email and give rise to an educational and commercial proposal. The Client acknowledges having been informed of the session date before registering. Registration is irrevocable once confirmed by EXOFORMATIONS, subject to the non-performance and postponement conditions in articles 5 and 6. Any order implies acceptance of these T&Cs and of the course content described in the proposal.
Article 2 — Obligations of the parties
For each course, EXOFORMATIONS provides a programme and a quote. Where applicable, a simplified agreement may be drawn up between EXOFORMATIONS, an approved funding body and/or the Client, who must return a completed, dated, signed and stamped copy marked "Bon pour accord". The Client must read the programme before registering. Information in catalogues, on the website, in brochures and price lists is indicative and may be revised at any time. The choice and purchase of a course are the Client's sole responsibility. These T&Cs are provided to any Client on request; the version applicable is the one in force on the day the training agreement is signed.
Refusal of orders: if previous services remain unpaid, EXOFORMATIONS may refuse any new order without compensation. On request, a certificate of attendance or completion and attendance sheets or connection logs can be provided with the invoice.
Article 3 — Prices and payment terms
Prices are stated in euros excluding tax, plus VAT at the applicable rate. Payment is due after the service, on receipt of invoice, by bank transfer, cheque or direct debit, once the withdrawal period has expired. In exceptional cases, payment in instalments or a 30% deposit may be agreed before the course starts. EXOFORMATIONS undertakes to deliver all the actions provided for in the training contract and to supply all supporting documents. Meals and, where applicable, accommodation are at the Client's expense.
Article 4 — Late payment
Individual client: EXOFORMATIONS will seek an amicable solution. Beyond thirty (30) days after the invoice date, late-payment penalties at the statutory interest rate apply: (amount due × days late × statutory rate) / (365 × 100). After sixty (60) days, and following an unanswered formal notice, EXOFORMATIONS may apply for a payment order.
Business client: any late payment automatically incurs penalties at three (3) times the statutory interest rate: (amount due × days late × (3 × statutory rate)) / (365 × 100), plus a fixed €40 recovery fee, without prior notice. After sixty (60) days, and following an unanswered formal notice, a payment order may be sought. EXOFORMATIONS may also cancel any other pending order from a Client with an unpaid invoice.
Article 5 — Third-party funding
Where an approved funding body pays, the Client must apply for funding before the course and send the approval to EXOFORMATIONS on confirmation, i.e. three (3) weeks before the start. Any difference in case of partial funding is invoiced to the Client. If no approval has been received by the first day, the amount becomes payable by the Client; if the funding body ultimately does not pay, for whatever reason, the Client must pay the full invoice.
Article 6 — Postponement, cancellation or withdrawal by the Client
Postponement may be requested in writing at least 10 days before the course. Cancellation is possible up to 10 clear calendar days before the start. Except in cases of force majeure or a duly recognised compelling legitimate reason: cancellation between nine (9) and two (2) clear days before the start incurs 50% of the price as compensation; less than two (2) clear days before the start, 100%. Any cancellation must be notified by email to contact@exoformations.com with read receipt, or by registered letter with acknowledgement of receipt.
Individual client: if the trainee withdraws for a reason other than force majeure or a duly recognised compelling legitimate reason, the contract is terminated with payment of the hours actually attended (pro rata) plus compensation of 25% of the contractual course cost for the hours not attended.
Business client: for courses funded wholly or partly by an OPCO, sums due following cancellation are invoiced directly to the Client and cannot be charged to its obligation under article L.6331-1 of the Labour Code nor reimbursed by an OPCO. In case of partial attendance or absence, the full service is due; any part not covered by the OPCO is invoiced to the Client.
*A clear day runs from 0:00 to 24:00 and excludes the day of the triggering decision and the due date.* EXOFORMATIONS cannot be held liable for non-performance due to a fortuitous event or force majeure (article 7); Clients are informed by email.
Article 7 — Force majeure
Force majeure suspends contractual obligations; the parties will act in good faith to continue performance. If it lasts more than one month, either party may terminate the order without compensation, effective 7 days after sending a registered letter stating the reason. Force majeure includes, in addition to cases recognised by French case law: total or partial strikes, lock-outs, bad weather, blocked transport or supplies (earthquake, fire, storm, flood, water damage, governmental or legal restrictions, regulatory changes) and any other event beyond the parties' control. Only hours actually delivered are due, pro rata; EXOFORMATIONS may not claim damages if the trainee is prevented from attending by force majeure.
Article 8 — Postponement, cancellation or non-performance by EXOFORMATIONS
Individual client: EXOFORMATIONS may postpone or cancel a session up to ten (10) clear days before it starts, informing the trainee in writing and seeking an alternative. If the course is not delivered at all, any deposit paid after the withdrawal period is fully refunded. If it is partly delivered, only hours attended are invoiced pro rata; any deposit is kept up to that amount, the balance refunded, or a top-up requested if insufficient.
Business client: EXOFORMATIONS may postpone or cancel a session up to ten (10) clear days before it starts, informing the Client in writing and seeking an alternative. If the dates, times or place in the agreement are changed unilaterally, the Client may terminate the agreement (up to ten clear days before the start) or postpone to a later session. If the course is not delivered at all, nothing is invoiced; if partly delivered, only hours attended are invoiced pro rata.
Article 9 — Services not included
Prices exclude meals, accommodation, room hire and trainees' travel. The trainer's travel expenses are invoiced on a flat-rate basis (2nd-class train or economy flight, hotel, breakfast, dinner, local travel).
Article 10 — Course programmes
Trainers may adapt content to current events, group dynamics or participants' level; programmes are indicative. In exceptional circumstances or force majeure (natural disasters, major accidents, health crises, disruption of essential public services), the Client accepts that teaching methods may be adapted, including 100% remote learning where compatible with the programme. Such adaptation, based on the principle of educational continuity, does not give rise to any refund.
Article 11 — Course delivery
Daily hours are agreed with the commissioning party, within 7 training hours per day. Course materials may be provided. At the end of the course, an evaluation form allows each trainee to assess what they have learned; these forms are analysed to continuously improve quality and, under article D.6321-1 of the Labour Code, serve to monitor programme delivery and assess results.
Article 12 — Intellectual property and copyright
EXOFORMATIONS is the sole owner of all teaching content, whatever the medium. The Client may not use it to train its own staff, have it used by another training organisation or use it in any other way, commercial or not (articles L.122-4 and L.335-2 of the Intellectual Property Code).
Article 13 — Internal rules
Trainees are subject to EXOFORMATIONS' internal training rules, available on request from contact@exoformations.com or displayed at the registered office. When training takes place on the Client's premises, the Client's internal rules apply.
Article 14 — Personal data and confidentiality
Personal data provided by the Client is used to process registrations and to build a customer file for marketing purposes. Under the French Data Protection Act of 6 January 1978 and the GDPR, the Client has rights of access, rectification and objection, exercised by email to contact@exoformations.com. Both parties apply appropriate administrative, physical and technical measures to protect shared data, except where legally required otherwise. See also our privacy policy.
Article 15 — Withdrawal period
Business client: buying for professional purposes, the Client cannot rely on the consumer withdrawal right.
Individual client: under article L.6353-5 of the Labour Code, the trainee has ten (10) days from signing the training contract to withdraw; under article L.221-18 of the Consumer Code, this is extended to fourteen (14) days for contracts concluded at a distance, following a telephone solicitation or off-premises. The trainee exercises this right by sending the form below, or any other unambiguous statement, by registered letter with acknowledgement of receipt (article L.221-21 of the Consumer Code). Under article L.6353-6 of the Labour Code, no payment may be required before the withdrawal period expires, nor from a trainee who has withdrawn.

Article 16 — Communication
The Client authorises EXOFORMATIONS to use its brand and logo as a reference.
Article 17 — Complaints
Any complaint about the training service must be sent by email to contact@exoformations.com. Each complaint is reviewed and answered as soon as possible.
Article 18 — Governing law and disputes
These T&Cs are governed by French law. An amicable solution will be sought first; failing that, disputes will be brought before the competent court of Nanterre.
Article 19 — Pre-contractual information and acceptance
Individual client: the trainee acknowledges having received, clearly and before registering, these T&Cs and the information listed in article L.221-5 of the Consumer Code, including: the essential characteristics and price of the course; the date on which EXOFORMATIONS undertakes to deliver it (subject to articles 6, 7 and 8); the conditions, deadline and procedure for withdrawal and the model form; EXOFORMATIONS' identity and contact details; where applicable, the functionality and interoperability of digital content; and the possibility of mediation in the event of a dispute. Registration and/or signing the contract implies full acceptance of these T&Cs and the obligation to pay the agreed price.
Business client: the Client expressly accepts these T&Cs and waives any conflicting document, in particular its own purchasing conditions, which are not enforceable against EXOFORMATIONS.
